Rejig AI Terms of Use

IMPORTANT NOTICE: PLEASE READ THESE TERMS OF USE CAREFULLY. THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTIONS) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, GROUP, OR REPRESENTATIVE ACTION OR PROCEEDING.

1. Agreement to Terms

These Terms of Use (“Terms“) constitute a legally binding agreement between you (“you” or “User“) and Rejig AI, Inc., a Delaware corporation (“Rejig,” “we,” “us,” or “our“). These Terms govern your access to and use of the Rejig platform, website at rejig.ai, mobile applications, and all related services, tools, and features (collectively, the “Service“).

BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, OR CLICKING “I ACCEPT,” “I AGREE,” OR SIMILAR CALL-TO-ACTION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING OUR PRIVACY POLICY AND ANY ADDITIONAL TERMS AND POLICIES INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

These Terms include a binding arbitration clause and class action waiver in Section 20, which affect your rights regarding disputes with Rejig. Please review that section carefully.

2. Service Overview

The Service is an AI-powered content creation and social media management platform designed for real estate professionals. The Service enables users to generate, transform, manage, and publish marketing content—including text, images, video, and audio—across social media channels and other digital platforms. Key capabilities of the Service include:

  • AI-powered content generation and transformation using proprietary and third-party artificial intelligence and machine learning providers;
  • Social media scheduling, publishing, and management through third-party publishing services;
  • Video creation, including avatar and voice synthesis capabilities through third-party providers;
  • Integration with real estate data sources, listing platforms, review aggregators, and brokerage systems;
  • Content discovery, curation, and repurposing tools with human-in-the-loop approval; and
  • SMS and communication tools for client engagement.

The Service relies on a variety of third-party service providers to deliver these capabilities. Your use of the Service is also subject to the terms, policies, and guidelines of applicable third-party providers as described in these Terms.

3. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your registration and use of the Service complies with all applicable laws and regulations. If you are accepting these Terms on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” in these Terms refer to that entity.

4. Accounts and Registration

To access most features of the Service, you must register for an account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately at [email protected] upon becoming aware of any unauthorized use of your account or any other breach of security.

You may not use another person’s account without their permission, use a username that infringes any third party’s rights, or use a username that is offensive, vulgar, or obscene.

5. Subscriptions and Billing

5.1 Subscription Plans

Certain features of the Service are available only through paid subscription plans. By selecting a subscription, you agree to pay the applicable fees according to the billing cycle you choose (monthly or annual).

5.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle under the same terms unless you cancel before the renewal date. You may cancel your subscription through your account settings or by contacting [email protected].

5.3 Payment

You must provide a valid payment method. By submitting payment information, you authorize Rejig to charge all subscription fees to your designated payment method. If automatic billing fails, Rejig will issue an invoice with a deadline for manual payment.

5.4 Fee Changes

Rejig may modify subscription fees at any time. We will provide you with reasonable prior notice of fee changes. Your continued use of the Service after a fee change takes effect constitutes acceptance of the new fees.

5.5 Free Trials

Rejig may offer free trials at its discretion. If you provide billing information for a free trial, you will be charged the applicable subscription fee at the end of the trial period unless you cancel beforehand. At any time and without notice, Rejig reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.

5.6 Refunds

Refund requests will be considered on a case-by-case basis at Rejig’s sole discretion. Contact [email protected] for refund inquiries.

6. User Responsibilities

You are responsible for your use of the Service and for all content you create, upload, publish, or distribute through the Service. Without limiting the foregoing, you agree to:

  1. Review all content—including AI-generated content—before publishing or distributing it, and ensure it is accurate, not misleading, and compliant with applicable laws and regulations, including real estate advertising regulations and fair housing laws;
  2. Ensure that you have all necessary rights, licenses, consents, and permissions for any content you upload, submit, or direct the Service to use, including images, videos, text, listing data, and personal information of third parties;
  3. Comply with all applicable laws, regulations, and professional licensing requirements, including those governing real estate marketing and advertising in your jurisdiction;
  4. Use the Service only for lawful purposes and in accordance with these Terms; and
  5. Maintain the confidentiality of your account credentials.

7. Prohibited Conduct

You agree not to use the Service to:

  1. Violate any applicable law, regulation, or professional licensing requirement;
  2. Generate, publish, or distribute misleading property descriptions, fabricated testimonials, or false or deceptive real estate marketing materials;
  3. Generate or distribute content that violates fair housing laws or is discriminatory based on race, color, religion, sex, familial status, national origin, disability, or any other protected class;
  4. Infringe, misappropriate, or violate any third party’s intellectual property, privacy, publicity, or other rights;
  5. Harass, abuse, threaten, defame, or intimidate any person;
  6. Upload or transmit viruses, malware, or any other malicious code;
  7. Attempt to gain unauthorized access to the Service, other users’ accounts, or any related systems or networks;
  8. Use the Service to develop a competing product or service, or to benchmark the Service without Rejig’s prior written consent;
  9. Scrape, crawl, or use automated means to access the Service except as expressly permitted;
  10. Submit false, misleading, or fraudulent information;
  11. Generate content that is obscene, pornographic, hateful, or that incites violence; or
  12. Interfere with or disrupt the Service or the servers or networks connected to the Service.

We reserve the right to suspend or terminate your access to the Service for any violation of this Section.

8. User Content

8.1 Definition

“User Content” means (a) any content you submit, upload, publish, or otherwise transmit to or through the Service, including text, images, video, audio, data, listing information, brand assets, and any other materials (collectively, “Uploaded Content”); and (b) content that you direct the Service to generate or transform on your behalf and that you review, approve, and choose to publish (collectively, the “Published Content”).

8.2 Ownership

You retain all ownership rights in your User Content, subject to the license granted below. Rejig does not claim ownership of your User Content.

8.3 License Grant to Rejig

By submitting User Content to or through the Service, you grant Rejig a worldwide, non-exclusive, royalty-free license (with the right to sublicense through multiple tiers) to host, store, cache, reproduce, modify, create derivative works from, display, and distribute your User Content solely to the extent necessary to provide, maintain, improve, and promote the Service. All rights granted under these Terms are provided on a through-to-the-audience basis, meaning that owners or operators of external services will not have any separate liability to you or any third party for User Content posted or otherwise used on external services via the Service.

Upon deletion of your User Content or termination of your account, Rejig’s license to such User Content will terminate, subject to the following:

(a) Wind-Down Period. For all User Content, the license continues for a commercially reasonable wind-down period following deletion or termination solely to account for backup, caching, and archival processes, after which Rejig will use commercially reasonable efforts to remove such User Content from active systems.

(b) Residual Use of Retained Content. Notwithstanding the foregoing, to the extent that any User Content (i) does not constitute Personal Content (as defined below) and (ii) does not require ongoing access to a data source provided or controlled by you in order to be reproduced, displayed, or otherwise used (“Self-Contained Content”), Rejig may retain and continue to use such Self-Contained Content after the wind-down period for the purpose of operating, maintaining and improving the Service, including for model training, quality assurance, and product development purposes, subject to any applicable confidentiality obligations.

(c) Exclusion for Personal Content. “Personal Content” means any User Content that is personal or identifiable to you as an individual user, including without limitation content that incorporates your name, likeness, contact details, biometric data, personal account credentials, or other information from which you could reasonably be identified. Rejig will not rely on the residual use rights in Section (b) with respect to Personal Content, and will use commercially reasonable efforts to delete or de-identify Personal Content following the wind-down period described in Section (a).

(d) Exclusion for Source-Dependent Content. Rejig will not rely on the residual use rights in Section (b) with respect to any User Content that, in order to be meaningfully reproduced or used, requires continued access to a data source, feed, system, or account controlled or provided by you and to which Rejig no longer has authorized access following termination (“Source-Dependent Content”). Rejig will use commercially reasonable efforts to delete or render inaccessible any Source-Dependent Content following the wind-down period described in Section (a).

8.4 User Content Representations and Warranties

You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to submit Uploaded Content and to grant the license above; (b) your User Content does not infringe, misappropriate, or violate any third party’s intellectual property or proprietary rights; (c) your User Content complies with all applicable laws and these Terms; and (d) your User Content does not contain harmful, defamatory, obscene, or otherwise objectionable material or require us to obtain any further licenses from or pay any royalties, fees, compensation or other amounts or provide any attribution to any third parties except as expressly contemplated by any third-party license terms incorporated into these Terms.

8.5 User Content Disclaimer

Rejig does not control, endorse, or assume responsibility for any User Content. You understand and agree that Rejig is not obligated to monitor User Content but reserves the right to remove, block, edit or disable access to any User Content that violates these Terms or is otherwise objectionable, at its sole discretion and without notice.

9. AI-Generated Content and Output Ownership

9.1 How AI Content Is Generated

The Service uses proprietary and third-party artificial intelligence and machine learning providers to generate, transform, and enhance content based on your inputs, directions, and preferences. Rejig contractually requires its AI providers not to use your data to train their models. The nature and quality of AI-generated output depends on the inputs provided and the capabilities of the underlying technology, and results may vary.

9.2 Ownership of AI-Generated Output

Subject to Section 9.3, AI-generated content that you review, approve, and elect to use or publish through the Service is treated as your User Content and is subject to all User Content provisions of these Terms. You are solely responsible for reviewing, verifying, and approving all AI-generated content before use or publication.

9.3 No Exclusivity; Rejig’s Rights

You acknowledge and agree that:

  1. AI-generated outputs are produced by algorithms that may generate substantially similar or identical content for other users based on similar inputs, prompts, or data;
  2. You do not acquire any exclusive rights in AI-generated outputs, and Rejig and its AI providers are free and unrestricted to generate and provide substantially similar or identical outputs to other users;
  3. No claim of copyright infringement or other intellectual property claim may be asserted by you against Rejig, its AI providers, or other users based on similarity between AI-generated outputs, except where such output incorporates your specific proprietary User Content (such as your uploaded images, brand assets, or original text) without authorization; and
  4. Rejig retains all rights in its proprietary algorithms, models, templates, and underlying technology used to generate outputs.

9.4 Content Repurposing

The Service may discover and suggest third-party content relevant to your market area, which it may parse, summarize, and reword with attribution. You acknowledge that: (a) such content is presented as a suggestion only and is never automatically published; (b) by reviewing, editing (if you choose), and affirmatively publishing repurposed content, you take responsibility for the published output as your User Content; and (c) you are solely responsible for ensuring that your use of repurposed content does not infringe any third party’s intellectual property rights. Rejig does not warrant that repurposed content is free of third-party rights claims.

9.5 AI Output Disclaimer

REJIG DOES NOT CONTROL THE OUTPUT OF THIRD-PARTY AI PROVIDERS AND MAKES NO WARRANTY OR REPRESENTATION REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, LEGALITY, NON-INFRINGEMENT OR SUITABILITY OF ANY AI-GENERATED CONTENT. AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR INAPPROPRIATE MATERIAL. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL AI-GENERATED CONTENT BEFORE USE OR PUBLICATION. YOUR USE OF AI-GENERATED CONTENT IS AT YOUR OWN RISK. AI MODELS GENERATE OUTPUTS BASED ON PATTERNS LEARNED DURING TRAINING AND REJIG CANNOT GUARANTEE THAT ANY PARTICULAR OUTPUT DOES NOT RESEMBLE OR INCORPORATE ELEMENTS SIMILAR TO EXISTING COPYRIGHTED, TRADEMARKED, OR OTHERWISE PROTECTED WORKS. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE SUITABILITY OF ANY AI-GENERATED CONTENT BEFORE USE OR PUBLICATION, INCLUDING WITH RESPECT TO POTENTIAL INTELLECTUAL PROPERTY CONSIDERATIONS.

10. Third-Party Services & Websites

The Service integrates with and relies upon various third-party services to provide its features, including: third-party AI and machine learning providers for content generation; third-party social media publishing services for posting content to your connected accounts; third-party avatar and voice synthesis providers; third-party video rendering services; third-party stock media libraries; real estate data providers, listing platforms, and review aggregators; third-party communications and messaging services; and third-party analytics and advertising platforms.

By using the Service, you authorize Rejig to transmit your content and data to these third-party services as necessary to provide the features you use. Third-party services are governed by their own terms and privacy policies and Rejig is not responsible for the acts or omissions of any third-party service provider. Your use of features that rely on third-party services is also subject to the applicable third-party terms.

Rejig may change, add, or remove third-party service providers at any time without notice to you.

The Service may contain links to third-party websites. We do not monitor or review the content of other parties’ websites which are linked to from this website or from content generated via the Services. Opinions expressed or material appearing on such third-party websites are not necessarily shared or endorsed by us and we shall not be regarded as the publisher of such opinions or material. We are not responsible for the privacy practices, or content, of these sites. We encourage our users to be aware when they leave our site and to read the privacy statements of these sites. You should evaluate the security and trustworthiness of any other site connected to this site or accessed through this site yourself, before disclosing any personal information to them. Rejig will not accept any responsibility for any loss or damage in whatever manner, howsoever caused, resulting from your disclosure to third parties of personal information.

11. Stock Media and Licensing

11.1 Stock Media Sources

The Service provides access to royalty-free stock media (images, video, and music) through third-party content libraries, including Storyblocks (operated by Footage Firm, Inc. d/b/a Storyblocks), Pexels, and Pixabay. Stock media accessed through the Service may come from different libraries with different license terms and protections.

11.2 Storyblocks End User License Agreement

Stock media sourced from Storyblocks is subject to the Storyblocks End User License Agreement (the “Storyblocks EULA”), which is available at https://www.storyblocks.com/license and is incorporated into these Terms by reference. By accessing or using Storyblocks content through the Service, you agree to be bound by the Storyblocks EULA. You are responsible for reviewing and complying with the Storyblocks EULA.

11.3 Indemnity Protections and Limitations

The indemnity protections available for stock media claims are limited to those provided under the applicable third-party license. For example, for Storyblocks content, indemnity protection is available only for unaltered stock files used in full compliance with the Storyblocks EULA and does not cover: (a) content that has been materially altered; (b) identifiable people, logos, trademarks, or property depicted within a file unless the file is marked as “Model Released” or “Property Released”; or (c) standalone use of stock files. Rejig makes no independent warranty of non-infringement for stock media and does not provide indemnification for stock media claims beyond what is available under the applicable third-party license. When content created through the Service combines stock media from multiple sources or with AI-generated elements, the indemnity protections of any single stock media provider may not extend to the combined work.

11.4 Identifiable People and Property

If a stock media file is not marked as “Model Released” or “Property Released,” you must obtain any necessary consents, releases, or permissions before using the file in a manner that identifies real people or property. Use of such files without appropriate releases is at your own risk.

12. Real Estate Data and Content

The Service may access real estate listing data, market data, neighborhood information, reviews, and testimonials through third-party data providers, listing platforms, and APIs at your direction. By connecting your accounts, authorizing integrations, or directing the Service to access such data on your behalf (collectively, “Accessed Content”), you represent and warrant that you have all necessary rights, licenses, and authorizations—including from your MLS, brokerage, and applicable data providers—to use such data through the Service.

All intellectual property rights associated with any Accessed Content remain with the website owner. By using our Service, you acknowledge and agree that we may utilize Accessed Content from various websites but do not claim any ownership over such content, and we will not reproduce, modify, or distribute the Accessed Content without your explicit consent, except as required by law or as necessary to provide you with the Service.

Rejig disclaims any liability arising from your unauthorized use of Accessed Content, listing data, MLS content, or other third-party real estate data. You are solely responsible for compliance with the terms of your MLS, brokerage, and any applicable data provider agreements.

13. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Rejig and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Rejig.

Your right to access and use the Service is personal to you and is not transferable. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service, except as expressly permitted in these Terms. You may not access the Service for the purpose of building a competitive product or service.

Rejig respects the intellectual property rights of others. If you believe that content available through the Service infringes your copyright or other intellectual property rights, please submit a written notice to:

Your notice should include: (a) a description of the copyrighted work or intellectual property you claim has been infringed; (b) a description of where the allegedly infringing material is located within the Service; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized by the rights owner, its agent, or the law; and (e) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the rights owner or authorized to act on the rights owner’s behalf.

Rejig will investigate valid notices and take appropriate action, which may include removing or disabling access to the content at issue. Rejig maintains a policy of terminating the accounts of users who are repeat infringers of intellectual property rights.

15. Modification of Service

Rejig reserves the right to modify or discontinue all or any portion of the Service at any time (including by limiting or discontinuing certain features of the Service), temporarily or permanently, without notice to you. Rejig will have no liability for any change to the Service, including any paid-for functionalities of the Service, or any suspension or termination of your access to or use of the Service. Service fees are not refundable. You should retain copies of any User Content you submit to the Service so that you have permanent copies in the event the Service is modified in such a way that you lose access to User Content you submitted to the Service.

16. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT, MATERIALS, INFORMATION, AND FEATURES AVAILABLE THROUGH THE SERVICE (INCLUDING AI-GENERATED CONTENT, STOCK MEDIA, AND THIRD-PARTY DATA) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REJIG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, REJIG MAKES NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE (INCLUDING AI-GENERATED CONTENT) WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PURPOSE; (D) ANY CONTENT ACCESSED THROUGH THE SERVICE WILL BE FREE FROM THIRD-PARTY INTELLECTUAL PROPERTY CLAIMS; OR (E) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM REJIG OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL REJIG, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE OF CONTENT, IMPACT ON BUSINESS, BUSINESS INTERRUPTION, OR LOSS OF ANTICIPATED SAVINGS), HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, WARRANTY, BREACH OF STATUTORY DUTY, NEGLIGENCE, OR OTHERWISE, EVEN IF REJIG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF REJIG AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL BE LIMITED TO THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS ACTUALLY PAID BY YOU TO REJIG DURING THE SIX (6) MONTH PERIOD PRECEDING THE FIRST EVENT OR OCCURRENCE GIVING RISE TO SUCH LIABILITY.

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

18. Indemnification

You agree to indemnify, defend, and hold harmless Rejig and its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of any rights of any third party, including intellectual property rights; (e) your decision to use, publish, or distribute Published Content after you have had the opportunity to review and approve such content; or (f) any willful misconduct on your part.

19. Dispute Resolution; Arbitration; Class Action Waiver

19.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Rejig at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. If the dispute is not resolved within that period, either party may proceed as set forth below.

19.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (each, a “Dispute”) that is not resolved through informal resolution will be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single arbitrator, in the English language, and in the State of California. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

You agree that any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND REJIG ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

19.3 Class Action Waiver

YOU AND REJIG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Rejig agree otherwise, the arbitrator may not consolidate or join more than one person’s or party’s claims and may not preside over any form of a consolidated, representative, or class proceeding.

19.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of a party’s intellectual property rights. Either party may also bring an individual action in small claims court for disputes or claims within the scope of that court’s jurisdiction.

19.5 Opt-Out

You may opt out of the arbitration and class action waiver provisions of this Section by sending written notice to [email protected] within thirty (30) days of your first acceptance of these Terms. Your notice must include your name, account information, and a clear statement that you wish to opt out of arbitration. If you opt out, the remaining provisions of these Terms will continue to apply.

20. Force Majeure

Rejig will not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond Rejig’s reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, power outages, internet or telecommunications failures, or failures of third-party service providers.

21. Export Compliance

You represent and warrant that you are not located in, or a resident or national of, any country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a “terrorist supporting” country, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations in your use of the Service.

22. Term and Termination

These Terms are effective beginning when you accept them or first access the Service, and continue until terminated. Rejig may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You are solely responsible for retaining copies of your User Content, as you may lose access to it upon termination. Sections that by their nature should survive termination will survive, including Sections 8 (User Content), 9 (AI-Generated Content), 16 (Disclaimer), 17 (Limitation of Liability), 18 (Indemnification), 19 (Dispute Resolution), and this Section 22.

23. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without Rejig’s prior written consent. Rejig may freely assign its rights and obligations under these Terms in whole or in part to any third party as part of a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without your consent.

24. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

25. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Subject to the arbitration provisions in Section 19, any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in California, and you consent to personal jurisdiction and venue in those courts.

26. Changes to These Terms

We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to the new terms taking effect, by posting a notice on the Service or by sending notice to the email address associated with your account. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

27. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any other policies or agreements expressly incorporated by reference (including applicable third-party license terms such as the Storyblocks EULA), constitute the entire agreement between you and Rejig regarding the Service, and supersede all prior agreements, understandings, and communications, whether written or oral.
